TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROUND TABLE PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUBCONTRACTORS, SUPPLIERS, INTERNS, AND SUCCESSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to or use of (or inability to access or use) the Site;
• Any conduct or content of any third party on the Site;
• Any content obtained from the Site; or
• Unauthorized access, use, or alteration of your transmissions or content.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ROUND TABLE PIZZA ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00 USD); OR (B) THE TOTAL AMOUNT PAID BY YOU TO ROUND TABLE PIZZA IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitations of liability set forth herein shall apply regardless of the legal theory on which the claim is based, including contract, tort (including negligence), strict liability, or any other theory, and regardless of whether Round Table Pizza has been advised of the possibility of such damages.

Some states do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in whole or in part. In such states, Round Table Pizza's liability shall be limited to the maximum extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Round Table Pizza, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use of the Site, including but not limited to any data or content you submit, post, or transmit;
• Your violation of any applicable federal, state, or local law or regulation;
• Your violation of any third-party rights, including but not limited to intellectual property rights, privacy rights, or contractual rights;

Round Table Pizza reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with Round Table Pizza in asserting any available defenses. You agree not to settle any claim without the prior written consent of Round Table Pizza.

9. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or related to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to its conflict of law provisions.

To the extent permitted by law, you agree that any legal action or proceeding relating to your access to or use of the Site or these Terms shall be instituted in the federal or state courts of competent jurisdiction within the United States. You hereby consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

These Terms are also subject to applicable federal laws, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), which prohibits unfair or deceptive acts or practices in or affecting commerce, and other applicable consumer protection regulations enforced by the Federal Trade Commission ("FTC").

Where applicable, users located in the State of California may have additional rights under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), and the California Business and Professions Code. Nothing in these Terms shall be construed to limit any rights afforded to California residents under applicable state law.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact Round Table Pizza at [email protected] and attempt to resolve any dispute informally. Round Table Pizza will use reasonable efforts to address your concerns within thirty (30) calendar days of receiving written notice of the dispute.

10.2 Binding Arbitration

If the parties are unable to resolve a dispute informally within thirty (30) days, both parties agree that any dispute, claim, or controversy arising out of or relating to these Terms, the breach thereof, or your use of the Site shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA), as modified by these Terms. The arbitration shall take place in the United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU AND ROUND TABLE PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Round Table Pizza agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights or confidential information. Small claims matters may also be brought in small claims court, provided the claim qualifies for such jurisdiction.

10.5 Opt-Out Right

You have the right to opt out of the binding arbitration and class action waiver provisions set forth above by sending written notice to [email protected] within thirty (30) days of the date you first agree to these Terms. If you opt out, all other provisions of these Terms will continue to apply to you.

11. Term and Termination

These Terms of Service shall remain in full force and effect while you access or use the Site. Round Table Pizza reserves the right, in its sole discretion and without notice or liability, to:
